LAWN CARE SERVICES AGREEMENT

This Lawn Service Contract Agreement (“Agreement”) by and between you, the party clicking through to accept this Agreement, and Mid Atlantic Lawn Care LLC, of 2260 Cabot Blvd West, Suite 400, Langhorne, Pennsylvania 19047 constitutes a binding agreement among the Parties. Upon the date of Your acceptance of this Agreement (“Effective Date”), You agree to be bound by the terms and conditions of this service contract.  

NOW, THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and agreements contained herein, “Customer” hires Mid Atlantic Lawn Care LLC, and Mid Atlantic Lawn Care LLC agrees to provide Lawn Service to the “Customer” at the following locations under the terms and conditions hereby agreed upon by the parties:   

1. DESCRIPTION OF SERVICES: Beginning upon the date of your acceptance of this Agreement, Mid Atlantic Lawn Care LLC will provide the following services (collectively, the “Services”): 

• Mid Atlantic Lawn Care LLC shall mow and edge the lawn in a competent and professional manner. The parties shall consult from time to time concerning the length and appearance of the lawn. 
• Mid Atlantic Lawn Care LLC shall not be responsible for replacement of trees, shrubs or other plants which are lost to casualty such as theft, aberrant weather or disease.

All services will be completed by Mid Atlantic Lawn Care LLC at: “Customer’s Provided Address”

2. PAYMENT FOR SERVICES: “Customer” will pay compensation to Mid Atlantic Lawn Care LLC for the Services according to the current Mid Atlantic Lawn Care LLC’s prices and policies. 

• a. Payment Terms
  Except as expressly set forth in this contract or on an applicable Order Form, all fees due and payments received hereunder are non-refundable and shall not be contingent on any additional services or products to be provided by Mid Atlantic Lawn Care LLC. Customer may not withhold payment due as a result of Customer’s perceived, actual or mistaken expectations of the scope, timeliness, or business success of the Services delivered.
• b. Late Payments:
  Any payment not received within thirty (7) days of the invoice due date of the Initial Bill and thirty (7) days of the invoice date of a Recurring Bill (respectively, a “Payment Default”) will be subject to interest of 5% per month. Customer also shall pay to Mid Atlanitc Lawn Care LLC all expenses incurred by Mid Atlanitc Lawn Care LLC in exercising any of its rights under this Agreement or applicable law with respect to a Payment Default or other breach by Customer, including, but not limited to, reasonable attorneys’ fees and the fees of any collection agency retained by Mid Atlanitc Lawn Care LLC.

3. TERM: This Contract may be terminated by either party upon 30 days prior written notice to the other party. 

4. RELATIONSHIP OF PARTIES: It is understood by the parties that Mid Atlantic Lawn Care LLC is an independent contractor with respect to “Customer”, and not an employee of “Customer”. “Customer” will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Mid Atlantic Lawn Care LLC. 

5. INJURIES: Mid Atlantic Lawn Care LLC acknowledges Mid Atlantic Lawn Care LLC’s obligation to obtain appropriate insurance coverage for the benefit of Mid Atlantic Lawn Care LLC (and Mid Atlantic Lawn Care LLC’s employees, if any).

6. INDEMNIFICATION: Mid Atlantic Lawn Care LLC agrees to indemnify and hold harmless “Customer” from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against “Customer” that result from the acts or omissions of Mid Atlantic Lawn Care LLC, Mid Atlantic Lawn Care LLC’s employees, if any, and Mid Atlantic Lawn Care LLC’s agents. 

7. INSURANCE: Mid Atlantic Lawn Care LLC shall maintain at all times adequate public liability insurance.

8. LIMITATIONS OF LIABILITY: Mid Atlantic Lawn Care LLC shall not be deemed to be in default of any provision of this Agreement or be liable for any delay, failure of performance or interruption of the provision of Services to Customer resulting, directly or indirectly, from any unforeseen, force majeure event, and or act of god.

8. ENTIRE AGREEMENT: This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other contract whether oral or written. 

9. LONG GRASS POLICY: In cases where your grass is overgrown (greater than 9 inches), we often have to charge an additional fee. This compensates the lawn service crew for the additional time it takes to complete the job. Therefore, we reserve the right to charge up to 3x the original price in cases of overgrown grass, although the charge is often much less. In cases where the grass is extremely overgrown (taller than 15 inches), we will get you a custom quote for the completion of the job, as in these cases it often takes much more time and/or specialty equipment. These policies ensure that our hardworking service crews are fairly compensated for the time they spend on each job.

10. SEVERABILITY: If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 

11. APPLICABLE LAW: This Contract shall be governed by the laws of Bucks County in the State of Pennsylvania.

12. SIGNATORIES: This Contract shall be signed on behalf of “Customer” and on behalf of Mid Atlantic Lawn Care LLC and shall be effective once contract is either signed, terms are accepted via website or a payment is made for services.
